Standard Terms of Sale
Global B2B Sales Policies & Commercial Specifications
All purchasing agreements, engineering orders, and custom fabrications executed by VISO Inc. are subject to the standard commercial terms detailed below. Designed to ensure transparency for global procurement teams, general contractors, and specifiers.
1. Scope & General Applicability
All sales policies, manufacturing procedures, and conditions of sale apply universally to all standard luminaires, bespoke decorative fixtures, architectural metal features, and natural stone products specified through VISO Inc.
2. Written Order Requirements
To ensure engineering precision and eliminate order duplication, VISO Inc. requires all purchase orders to be submitted in writing via official email or formal documentation through authorized sales channels. Verbal orders are not accepted.
3. Pricing & CAP Policies
All catalog prices reflect standard Consumer Advertised Price (CAP) standards. While commercial distributors and dealers maintain autonomy over resale pricing, published online advertising or public pricing below VISO CAP guidelines is strictly prohibited.
4. Quotation Validity
Formal price quotations and project fee proposals issued by VISO sales offices or independent technical representatives remain valid for sixty (60) calendar days from the date of issuance, subject to written adjustment thereafter.
5. Commercial Minimums & Service Charges
The standard minimum order requirement for project orders is $500.00 USD (total CAP value). Orders strictly designated for replacement components, maintenance parts, or spare glass elements are exempt from this threshold.
6. Payment Terms & Custom Deposits
For accounts with verified open credit, payment is Net 30 days from date of invoice upon dispatch. Accounts lacking pre-approved credit require a 50% non-refundable deposit upon order placement and 50% final balance prior to shipment. Orders under $10,000 USD or requiring custom finishes/modifications require 100% full prepayment upon order confirmation.
7. Order Confirmation & Modifications
Order Execution is strictly based on details confirmed in the official VISO Order Confirmation. Customer-initiated changes or cancellations after confirmation require written approval. Cancelled standard orders after dispatch are subject to a 30% restocking fee. Custom made-to-order fixtures cannot be altered or cancelled.
8. Delivery Schedules & Production Lead Times
Estimated ship dates represent realistic manufacturing schedules based on shop drawing approval dates. VISO Inc. is not liable for project delay damages caused by raw material supply constraints, labor interruptions, or site readiness delays beyond reasonable control.
9. Freight Terms & Storage Provisions
All shipments are fulfilled EXW (Ex Works Toronto Plant) unless contractual terms explicitly state otherwise. If project delivery is postponed by the client, finished products placed into storage will be invoiced upon transfer to warehouse facilities at the purchaser’s risk and expense.
10. Freight Claims & Inspection Protocol
Merchandise is packaged to international freight transport standards. Freight damage claims must be filed directly with the carrier within 72 hours of delivery receipt. Written claims regarding quantity shortages or manufacturing discrepancies must be submitted to VISO within 10 days of site arrival.
11. Return Goods Authorization (RGA)
No product returns will be accepted without an authorized RGA document. Approved returns of standard, unused catalog items in original packaging within 30 days incur a 30% restocking charge. Custom fabrications, patinated metals, and discontinued collections are non-returnable.
12. Limited Warranty Coverage
VISO Inc. warrants luminaires and fabricated features to be free from material and manufacturing defects for one (1) full year from delivery date. Defective items will be repaired or replaced at VISO's discretion. Warranty does not cover consumables (bulbs/ballasts), field modifications, improper maintenance, or installation error.
13. International Safety Certifications
All VISO products are engineered and tested in compliance with globally recognized electrical and building safety standards, maintaining listings with certified laboratories including cULus, cETLus, and CE marks tailored to destination code requirements.
14. Handcrafted Materials & Finish Characteristics
Due to the authentic nature of artisan glassblowing and custom metallization, minor variations such as micro-bubbles, slight streak variations, or natural metal patinas may occur. These characteristics demonstrate authentic craftsmanship and are not considered manufacturing defects.
